Royalty-free License Agreement

       By downloading any images (Digital Media, Image) from our website, you agree to be bound by the terms of this agreement.

Rights

All rights to the Digital Media are owned by photo.snowcron.com author(s) (Licensor).

Licensor retains all rights not expressly granted by this agreement. The Digital Media is licensed only to you or your employer if you are acting on behalf of your employer.

Grant Of License

p>We hereby grant to you a non-exclusive, perpetual and non-transferable worldwide license to use the Digital Media as defined below in "Permitted Uses" section. Activities and uses not listed as Permitted Use, are not allowed.

The Licensor retains all other rights to the Digital Media, including, without limitation, all copyright and other intellectual property rights.

The term "non-transferable" as used herein means that except expressly provided in this Agreement, you may not sell, rent, sublicense, load, give, or otherwise transfer the Digital Media or the right to use the Digital Media to anyone.
Additionally, the work produced by you using the Digital Media may only be used by yourself, your direct employer, customer, or client (which means they are the end users of your work).

Permitted Uses:
• Print media, including advertising and promotional materials and packaging, editorial publications and consumer merchandise;
• Internet, intranet, Online or web-based media provided the size of Images does not exceed 800x600 pixels;
• Software background image or splash screen, provided that the Image cannot be extracted from the software package or viewed as a slideshow or the equivalent;
• Broadcast and theatrical exhibitions, multimedia presentations, broadcast film and video, cell phones.
• Products intended for resale; provided these products do not allow the re-distribution or re-use of the Digital Media;
• Your corporate identity on business cards, letterhead, provided that the Image is not used as a trademark, service mark or logo or as an element of such;
• Advertising or promotional posters, catalogs, brochures, pop up and panel displays, provided that the Image is not used as and does not function as a trademark, service mark or logo or as an element such;
• Decorating your home, your office or any public place.
• For private use;

Licensee may alter, crop, modify or adapt the Digital Media and create derivative works of the Digital Media in accordance with the permitted uses above. In the event that you create a derivative work based on Digital Media, all rights to that Digital Media shall remain owned by Licensor, subject to this Agreement.

Licensee may perform limited, temporary transfers of the Images to third parties for the sole purpose of the creation of the final product, provided such third parties agree to bound by the terms of this agreement.

Restrictions

You may not do anything with the Digital Media that is not expressly permitted in the Permited Uses section.

Particularly, you may not:
• Sublicense, sell, assign, convey or transfer any of the rights under this Agreement.
• Sell, distribute or license the final product in a way that permits end users to extract or the Digital Media as a stand-alone file.
• Use the Images as part of a trade-mark, design-mark, trade-name, business name, service mark, or logo;
• Distribute, post or upload the Image(s) online in a downloadable format, or in a format that makes it possible to be downloaded or distributed via mobile devices or shared in any file sharing system; install and use the Digital Media in more than one location at a time for use by other users;
• Use any Image in a pornographic, defamatory, libelous or otherwise illegal manner, for spreading hate or discrimination, whether directly or in context or juxtaposition with other materials.
• To endorse products and services if it depicts a person.
• In a way that can give a bad name to the person(s) or property depicted on the Image.
• Use automated programs to download Digital Media.
• Use the Digital Media in website templates intended for resale or distribution, or as part of design template applications intended for resale or distribution, or in document templates intended for resale or distribution, including, without limitation, templates for websites, Flash, business cards, electronic greeting cards, brochures;
• Remove any copyright, trade-mark or other proprietary right information contained in the Digital Media;

Warranty

It is agreed that contract is governed by and shall be construed in accordance with the laws of the State of New Jersey. You hereby consent to the personal jurisdiction of the state and federal courts located within this state. All issues arising from this agreement shall be heard and decided exclusively before the courts located in the New Jersey State.

The Digital Media is provided "as is", without representation, warranty or condition of any kind, either express or implied.

Particularly, it is not warranted that the digital media will meet your requirements or will be uninterrupted or error free.

You accept all risks and costs related to the quality and performance of the Digital Media.

Licensor shall not be liable to anyone for any damages, costs or losses arising from Licensee's use of the Images, even if Licensor has been advised of the possibility of such damages, costs or losses.

In any event, the total maximum liability of Licensor under this agreement shall be limited to the fees actually paid by the Licensee.

Licensee may have additional rights under state law.

You agree to be responsible for any and all additional fees according to any jurisdiction as a result of the license granted to you, or to your use of the Digital Media.

Certain Images may be subject to additional copyrights, property rights, trademarks etc. and may require the consent of a third party or the license of these rights. These rights are not granted under this Agreement. It's your sole responsibility to obtain all the necessary rights, consents and licenses for the intended use of the Digital Media.

Licensee agrees to indemnify, defend and hold Licensor and website harmless against all claims arising out of any breach of this Agreement.

The titles, descriptions and keywords used on the website are used for navigation image search only. A correctness of the data associated with Images is not guaranteed.
